Welcome to the Uni People website and/or Uni People mobile application (our “Platform”). This agreement applies between you, the User of this Platform and Uni People of London, United Kingdom, (“we” or “us”), the owner(s) of this Platform. Your agreement to comply with and be bound by these terms and conditions is deemed to occur upon your first use of the Platform. If you do not agree to be bound by these terms and conditions, you should stop using the Platform immediately.
You agree that by accessing the Platform, you have read, understood, and agree to be bound by all of these Terms and Conditions. If you do not agree with all of these Terms and Conditions, then you are expressly prohibited from using the Platform and you must discontinue use immediately.
These Terms and Conditions (the “Terms”) constitute a legal agreement between you and us governing the use of our Platform and our Services. We license use of our Platform to you on the basis of these Terms. We do not sell our Platform to you, and we remain the owner of our Platform at all times.
IMPORTANT NOTICE TO ALL USERS:
- The terms of this agreement include, in particular, limitations on liability and an indemnity.
- If you do not agree to the terms of this agreement, we will not license use of our platform to you, and you must not use our platform.
- Depending on the version of the Application you have downloaded, these App Terms incorporate Apple’s, Huawei’s, Amazon’s or Android’s terms and conditions and privacy policies (“Platform Terms”). If there is any conflict between these App Terms and the Platform Terms, then these App Terms will prevail.
- We may from time to time vary these Terms. Please check these Terms regularly to ensure you are aware of any variations made by us. If you continue to use this Platform, you are deemed to have accepted such variations. If you do not agree to such variations, you should not use the Platform.
- Definitions and Interpretation
- In this Agreement the following terms shall have the following meanings:
“Content” means any text, graphics, images, audio, video, software, data compilations and any other form of information capable of being stored in a computer that appears on or forms part of this Platform;
“Service” means collectively any online facilities, tools, services or information that Uni People makes available through the Platform either now or in the future;
“System” means any online communications infrastructure that Uni People makes available through the Platform either now or in the future. This includes, but is not limited to, web-based email, message boards, live chat facilities and email links; and
“User” / “Users” means any third party that accesses the Platform and is not employed by Uni People and acting in the course of their employment.
- Age Restriction
The Platform is intended for users who are at least 6 years of age. All users who are minors in the jurisdiction in which they reside (generally under the age of 18) must have the permission of, and be directly supervised by, their parent or guardian to use the Platform. If you are a minor, you must have your parent or guardian read and agree to these Terms and Conditions prior to you using the Platform.
- Intellectual Property
- All Content included on the Platform, unless uploaded by Users, including, but not limited to, text, graphics, logos, icons, images, sound clips, video clips, data compilations, page layout, underlying code and software is the property of Uni People, our affiliates or other relevant third parties. By continuing to use the Platform you acknowledge that such material is protected by applicable United Kingdom and International intellectual property and other relevant laws.
- You may not reproduce, copy, distribute, store or in any other fashion re-use material from the Platform unless otherwise indicated on the Platform or unless given express written permission to do so by Uni People.
- You acknowledge that all intellectual property rights in our Platform anywhere in the world belong to us, that rights in our Platform are licensed (not sold) to you, and that you have no rights in, or to, our Platform other than the right to use them in accordance with these Terms.
- Any intellectual property rights in content uploaded by you to our Platform shall continue to belong to you or their respective owners. You agree that you grant us a royalty-free and non-exclusive license to use, reproduce, publish, and display such intellectual property rights for the purposes of performing the Services, promotional purposes, internal administrative purposes, and any other purposes set out in these Terms, including for the purpose of improving the Services and our responses to users of the Platform.
- You acknowledge that you have no right to have access to our Platform in source code form.
- You must not modify the paper or digital copies of any materials you have printed off or downloaded from our Platform in any way and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.
- You must not use any part of the content on our Platform for commercial purposes not specified on our Platform without obtaining a license to do so from us or our licensors.
- If you print off, copy, or download any content on our Platform in breach of this Agreement, your right to use our Platform will cease immediately, and you must, at our option, return or destroy any copies of the materials you have made.
- Use of our Platform
- The provisions set out in these Terms govern your access to and your use of our Platform and shall constitute a legally binding agreement between you and us. We may change such terms from time to time and shall notify you accordingly if we do. If you do not agree to such terms, you must not use our Platform.
- Subject to you agreeing to abide by these Terms, we hereby grant to you a revocable, non-exclusive, and non-transferable license to use our Platform on these Terms.
- By registering for an Account, which involves providing us with certain mandatory and voluntary information as required for a successful registration and using our Platform, you agree and acknowledge that:
- you have read the terms set out in these Terms and agree to be bound by and comply with them; and
- you shall ensure that all Users of your Account abide by these Terms.
- You are responsible for maintaining the confidentiality of your Account and you are responsible for all activities that occur under your Account. You agree that all actions carried out by any person through your Account shall be deemed to be an act carried out by you, and you shall ensure that all persons who have access to and use your Account are authorised to do so. We are not responsible for any loss, damage or liabilities arising as a result of or in connection with the wrongful, fraudulent or illegal use of your Account.
- We reserve the right to, without any notice, explanation, or liability and in our sole discretion, refuse to allow you or suspend your access to our Platform or your Account at any time, or remove or edit content (including content submitted by you) on our Platform or on any of our affiliated websites (including social media pages).
- We reserve the right to change, modify, suspend, or discontinue any portion of the Services, our Platform or any other products, services, affiliated websites (including social media pages) and/or other software provided by us in connection with any of the foregoing at any time. You agree that access to or operation of any of the foregoing may from time to time be interrupted or encounter technical difficulties.
- Save to the extent permitted by us in writing, you are not permitted to use, or submit any content to, our Platform or any of our affiliated websites to advertise, promote or market any products or services of any third party or yourself.

- Account and Password
- The Services are provided to you via a dedicated account on the Website, pursuant to which you will create a unique user-id and password.
- You’re responsible for keeping your user-id and password confidential. You’re also responsible for any use of any account that you have access to, whether or not you authorised the use. You’ll immediately notify us of any unauthorised use of your accounts.
- You are solely responsible for any losses, damages, fees, or liability due to your lost, stolen, hacked or otherwise compromised user-ids and passwords.
- You must not use false identity but can use your unique identifier or DisplayName to keep your identity hidden from others if you so choose.
- We don’t have access to your current password, and for security reasons, we may only reset your password to do so please contact us.
- Uni People Coin AML and KYC
- In order to comply with laws, rules and regulations applicable to Uni People, including those relating to the funding of terrorist activities and money laundering, Uni People may be required to obtain, verify and record certain information relating to individuals and entities which maintain a business relationship with Uni People. Accordingly, each of the parties to transactions agree to provide to Uni People upon its request from time to time such identifying information and documentation as may be available for such party in order to enable Uni People to comply with applicable law.
- Uni People reserves the right to request and shall have receive within 5 days all documentation and other information required, by its users where so requested.
- Purchases and Services
- If you purchase any services from Uni People you will be sent a separate contract with unique terms and conditions to said agreement.
- The services are intended exclusively for use by the customer. If the Customer intends to deliver the services purchased from us to a third party, the Customer shall inform us of this.
- Uni People reserves the right to make technical changes, in particular improvements, up to the time of delivery of services, provided that only insignificant changes in the quality occur as a result and the Customer is not unreasonably impaired.
- Statements regarding the quality or durability of services do not constitute a guarantee (assurance) within the meaning of English Commercial Law and do not constitute a warranty within the meaning of English Commercial Law unless we have expressly assumed such a guarantee in writing.
- If services are produced or modified on the basis of specifications provided by the customer, Uni People shall not be obliged to check these specifications without a special agreement. The customer shall not be entitled to any claims for defects which are attributable to these specifications or to hardware or software used by the customer and supplied by third parties.
- Unless expressly agreed otherwise, the subject matter of the contract shall be a standard service which has not been individually produced for the Customer's requirements. Contracts for services are therefore purchase contracts.
- Uni People is not obligated to deliver any additional services.
- We reserve title to the services delivered by us until receipt of all payments arising from the entire business relationship.
- Rights of use shall not pass to the customer until payment has been made in full. Insofar as usage rights are granted prior to full payment, these are revocable at any time.
- Unless otherwise agreed, the Customer shall be granted a non-exclusive license for an unlimited period of time to use the services. This permission is not transferable.
- The Customer is not permitted to grant rights of use to third parties.
- Unless otherwise stipulated by law, the customer shall not be entitled to reproduce, distribute, make publicly accessible, rent, modify or process services or written material provided to him/her.
- For each case of culpable infringement of the above provisions by the customer, we shall be entitled, without prejudice to other rights, to demand a contractual penalty which shall be determined by us in each individual case and the amount of which may be reviewed by the competent court.
- As a matter of principle, the customer shall not be entitled to a contractual right of return. Anything to the contrary shall only apply if we have expressly granted him a right of return in writing.
- A claim to the granting of a right of return does not exist in any case.
- If the customer is granted a right of return by us, this shall only apply to service and deliverables that have already been paid for. The right of return expires at the latest 2 weeks after receipt of the service and deliverables and can be effectively exercised only by timely return, the arrival of the goods with us is decisive.
- The Services offered by Uni People include digital deliverables and services, as such content is immediately viewable and usable. Therefore, the following apply a) All Sales Are Final b) We do not offer refunds under any circumstances.
- Subscription
- Some Services may require payment of subscription fees and/or other ad-hoc or ancillary fees before you can access or use them (“Fees”). These Fees will be notified to you through our Platform.
- If you purchase a recurring subscription from us, the subscription period for your Account shall be renewed automatically at the expiry of each subscription period, until terminated successfully through our Platform. By purchasing the recurring subscription, you authorise us or our related corporations to automatically charge the Fees:
- upon the commencement of your first subscription period, upon expiration of any applicable trial period or at a date otherwise indicated by us; and
- on the renewal date of the subscription period thereafter, without any further action by you.
- Any Fees due in relation to your Account must be paid by their due date for payment, as notified to you through our Platform or otherwise. Failure to make timely payment of the Fees may result in the suspension or termination of your access to your Account and/or our Platform or any of the Services.
- Our Fees may be amended from time to time at our discretion. We will provide you reasonably advanced written notice of any amendment of recurring Fees. Your continued use of a recurring subscription will constitute acceptance of the amended Fees.
- You shall be responsible for any applicable taxes (including any goods and services tax) under these Terms.
- All payments shall be made by using the payment methods specified by us from time to time. You acknowledge and agree that you are subject to the applicable user agreement of any third-party payment methods. We shall not be liable for any failure, disruption, or error in connection with your chosen payment method. We reserve the right at any time to modify or discontinue, temporarily or permanently, any payment method without notice to you or giving any reason.
- We must receive payment in full no later than the day on which such payment is required to be paid in immediately available and freely transferable funds, without any restriction, condition, withholding, deduction, set-off or counterclaim whatsoever.
- Unless otherwise notified in writing by us, termination of your Account for any reason whatsoever shall not entitle you to any refund of the Fees. If you cancel your subscription to our Platform, you may continue to access your Account until the expiry of the subscription period in which the cancellation occurred.
- We may at our sole and absolute discretion, offer a refund of Fees for a particular subscription period where no actions have been taken in respect of your Account during that subscription period and you have notified us in writing of your intention to terminate your subscription within three (3) days of the due date for payment for that subscription period.
- Uploading content to our Platform
- You irrevocably and unconditionally represent and warrant that any of your content uploaded to our Platform complies with our Privacy Policy, Acceptable Use Policy, the GDPR and any other applicable laws.
- You are fully responsible for your content uploaded to our Platform. We will not be responsible, or liable to any third party, for:
- the content or accuracy of any content or data uploaded by you, by us on your behalf, or any other user of our Platform; or
- the loss of any content or data (whether in physical or digital form) provided to us by you. You should keep a record of all such content and data.
- We will only use the content uploaded by you for the purposes of carrying out the Services, carrying out our obligations in this Agreement and any other purpose expressly set out in this Agreement or otherwise agreed between us. We will not otherwise disclose or distribute the content uploaded by you, save for when required by law, a court of competent jurisdiction or any governmental or regulatory authority.
- We may use the content uploaded by you for the purpose of data analytics or to implement artificial intelligence or machine learning. Any such content shall be anonymised and used only for the purposes of improving the Services and our response to users of the Platform.
- We have the right to disclose your identity to any third party claiming that any content posted or uploaded by you to our Platform constitutes a violation of their rights under applicable law.
- We have the right to delete any content uploaded to our Platform if, in our opinion, it does not comply with the content standards set out.
- Nonexclusive license
- Uni People grants You a limited, revocable, non-exclusive, non-sub-licensable license to install, copy and use the Platform solely as necessary for you to use the Service; and
- you will not (and You will not allow any third party to)
- copy, modify, adapt, translate or otherwise create derivative works of the Software or the Documentation;
- reverse engineer, decompile, disassemble or otherwise attempt to discover the source code of the Platform, except as expressly permitted by the law in effect in the jurisdiction in which You are located;
- rent, lease, sell, assign or otherwise transfer rights in or to the Platform, the Documentation or the Service;
- remove any proprietary notices or labels on the Platform or placed by the Service;
- use, post, transmit or introduce any device, software or routine which interferes or attempts to interfere with the operation of the Service or the Platform; or
- use data labelled as belonging to a third party in the Service for purposes other than generating, viewing, and downloading Reports. You will comply with all applicable laws and regulations in Your use of and access to the Documentation, Platform and Service.
- Uni People grants You a limited, revocable, non-exclusive, non-sub-licensable license to install, copy and use the Platform solely as necessary for you to use the Service; and
- Contribution license
- By posting your Contributions to any part of the Platform or making Contributions accessible to the Platform by linking your account from the Platform to any of your social networking accounts, you automatically grant, and you represent and warrant that you have the right to grant, to us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right, and license to host, use, copy, reproduce, disclose, publish, broadcast, retitle, archive, store, cache, publicly perform, publicly display, reformat, translate, transmit, excerpt (in whole or in part), and distribute such Contributions (including, without limitation, your image and voice) for any purpose, commercial, advertising, or otherwise, and to prepare derivative works of, or incorporate into other works, such Contributions, and grant and authorise sublicenses of the foregoing. The use and distribution may occur in any media formats and through any media channels.
- This license will apply to any form, media, or technology now known or hereafter developed, and includes our use of your name, company name, and franchise name, as applicable, and any of the trademarks, service marks, trade names, logos, and personal and commercial images you provide. You waive all moral rights in your Contributions, and you warrant that moral rights have not otherwise been asserted in your Contributions.
- We do not assert any ownership over your Contributions. You retain full ownership of all of your Contributions and any intellectual property rights, or other proprietary rights associated with your Contributions. We are not liable for any statements or representations in your Contributions provided by you in any area on the Platform.
- You are solely responsible for your Contributions to the Platform, and you expressly agree to exonerate us from any and all responsibility and to refrain from any legal action against us regarding your Contributions.
- We have the right, in our sole and absolute discretion,
- to edit, redact, or otherwise change any Contributions;
- to re-categorise any Contributions to place them in more appropriate locations on the Platform; and
- to pre-screen or delete any Contributions at any time and for any reason, without notice.
- We have no obligation to monitor your Contributions.
- Nothing contained in this Agreement shall be construed to create an entitlement to any share of, payment of, or other form of compensation in, any income or revenues generated ,including but not limited to advertising, search, promotions, sponsorship, usage, statistics, data analysis, partnerships, by Uni People through Uni People`s use, promotion or any commercial exploitation whatsoever of the by you uploaded content, materials, submissions, in any form or form, media, or technology now known or hereafter developed.
- Mobile Application License
- If you access the Platform via a mobile application, then we grant you a revocable, non-exclusive, non-transferable, limited right to install and use the mobile application on wireless electronic devices owned or controlled by you, and to access and use the mobile application on such devices strictly in accordance with the terms and conditions of this mobile application License contained in these Terms and Conditions.
- You shall not:
- decompile, reverse engineer, disassemble, attempt to derive the source code of, or decrypt the application;
- make any modification, adaptation, improvement, enhancement, translation, or derivative work from the application;
- violate any applicable laws, rules, or regulations in connection with your access or use of the application;
- remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) posted by us or the licensors of the application;
- use the application for any revenue generating endeavour, commercial enterprise, or other purpose for which it is not designed or intended;
- make the application available over a network or other environment permitting access or use by multiple devices or users at the same time;
- use the application for creating a product, service, or software that is, directly or indirectly, competitive with or in any way a substitute for the application;
- use the application to send automated queries to any Website or to send any unsolicited commercial e-mail;
- use any proprietary information or any of our interfaces or our other intellectual property in the design, development, manufacture, licensing, or distribution of any applications, accessories, or devices for use with the application.
- Apple and Android Devices
- The following terms apply when you use a mobile application obtained from either the Apple’s, Huawei’s, Amazon’s or Android’s store (each an “App Distributor”) to access the Platform:
- the License granted to you for our mobile application is limited to a non-transferable License to use the application on a device that utilises the Apple iOS or Android operating systems, as applicable, and in accordance with the usage rules set forth in the applicable App Distributor’s terms of service;
- we are responsible for providing any maintenance and support services with respect to the mobile application as specified in the terms and conditions of this mobile application License contained in these Terms and Conditions or as otherwise required under applicable law, and you acknowledge that each App Distributor has no obligation whatsoever to furnish any maintenance and support services with respect to the mobile application;
- in the event of any failure of the mobile application to conform to any applicable warranty, you may notify the applicable App Distributor, and the App Distributor, in accordance with its terms and policies, may refund the purchase price, if any, paid for the mobile application, and to the maximum extent permitted by applicable law, the App Distributor will have no other warranty obligation whatsoever with respect to the mobile application;
- you must comply with applicable third-party terms of agreement when using the mobile application, e.g., if you have a VoIP application, then you must not be in violation of their wireless data service agreement when using the mobile application; and
- you acknowledge and agree that the App Distributors are third-party beneficiaries of the terms and conditions in this mobile application License contained in these Terms and Conditions, and that each App Distributor will have the right (and will be deemed to have accepted the right) to enforce the terms and conditions in this mobile application License contained in these Terms and Conditions against you as a third-party beneficiary thereof.
- The following terms apply when you use a mobile application obtained from either the Apple’s, Huawei’s, Amazon’s or Android’s store (each an “App Distributor”) to access the Platform:
- Social Media
- As part of the functionality of the Platform, you may link your account with online accounts you have with third-party service providers (each such account, a “Third-Party Account”) by either:
- providing your Third-Party Account login information through the Platform; or
- allowing us to access your Third-Party Account, as is permitted under the applicable terms and conditions that govern your use of each Third-Party Account.
- You represent and warrant that you are entitled to disclose your Third-Party Account login information to us and/or grant us access to your Third-Party Account, without breach by you of any of the terms and conditions that govern your use of the applicable Third-Party Account, and without obligating us to pay any fees or making us subject to any usage limitations imposed by the third-party service provider of the Third-Party Account.
- By granting us access to any Third-Party Accounts, you understand that:
- we may access, make available, and store (if applicable) any content that you have provided to and stored in your Third-Party Account (the “Social Network Content”) so that it is available on and through the Platform via your account, including without limitation any friend lists and
- we may submit to and receive from your Third-Party Account additional information to the extent you are notified when you link your account with the Third-Party Account.
- Depending on the Third-Party Accounts you choose and subject to the privacy settings that you have set in such Third-Party Accounts, personally identifiable information that you post to your Third-Party Accounts may be available on and through your account on the Platform.
- Please note that if a Third-Party Account or associated service becomes unavailable or our access to such Third-Party Account is terminated by the third-party service provider, then Social Network Content may no longer be available on and through the Platform. You will have the ability to disable the connection between your account on the Platform and your Third-Party Accounts at any time.
- Please note that your relationship with the third-party service providers associated with your third-party accounts is governed solely by your agreement(s) with such third-party service providers.
- We make no effort to review any Social Network Content for any purpose, including but not limited to, for accuracy, legality, or non-infringement, and we are not responsible for any Social Network Content.
- You acknowledge and agree that we may access your email address book associated with a Third-Party Account and your contacts list stored on your mobile device or tablet computer solely for purposes of identifying and informing you of those contacts who have also registered to use the Platform.
- You can deactivate the connection between the Platform and your Third-Party Account by contacting us using the contact information below or through your account settings (if applicable). We will attempt to delete any information stored on our servers that was obtained through such Third-Party Account, except the username and profile picture that become associated with your account.
- You acknowledge and agree that where access details to your social media user account are changed or altered, it is your responsibility to update those new access details in your account details on the Platform.
- You acknowledge and agree that if your social media account is breached / compromised, whether directly or indirectly connected to our Platform then it is your responsibility to change username / pin / password on Social Media account.
- As part of the functionality of the Platform, you may link your account with online accounts you have with third-party service providers (each such account, a “Third-Party Account”) by either:
- Submissions
- You acknowledge and agree that any questions, comments, suggestions, ideas, feedback, or other information regarding the Platform ("Submissions") provided by you to us are non-confidential and shall become our sole property. We shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of these Submissions for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you.
- You hereby waive all moral rights to any such Submissions, and you hereby warrant that any such Submissions are original with you or that you have the right to submit such Submissions. You agree there shall be no recourse against us for any alleged or actual infringement or misappropriation of any proprietary right in your Submissions.
- Job Advertising rules
- We have rules regarding the content and format of jobs posted on Uni People. The purpose is to ensure that users who search the site get results which are presented accurately. We may, at our sole discretion remove any advertisement which is posted.
- Job-seekers, employers and Recruiters need to be aware that Uni People operates as a venue only and does not introduce or supply Candidates to Recruiters nor conversely. Thus we do not:
- obtain sufficient information for potential Recruiters to select a suitable Candidate for the position which the Recruiter seeks to fill;
- obtain confirmation of the identity of a Candidate or that they have the experience, training, qualifications or authorization to work in the position to be filled or that they wish to undertake the role to be filled;
- take any steps to ensure the Candidate and Recruiter are each aware of any requirement imposed by law or otherwise which must be satisfied by either of them to permit the Candidate to fulfil the position to be filled;
- take any steps to ensure that it would not be detrimental to the interests of the Candidate or the Recruiter for the Candidate to fulfil the position to be fulfilled;
- give any indication to Recruiters whether Candidates are unsuitable (or suitable) for any position to be filled in any circumstances;
- propose Candidates to Recruiters or provide any information about them.
- take up any references in relation to a Candidate; or
- make any arrangements for accommodation of Candidates.
- Therefore, we do not propose or introduce Candidates to Recruiters or vice versa. It is recommended that, if you are a Candidate you undertake steps as set out in the Regulations to ensure your suitability for the role advertised or, if you are a Recruiter or employer, to ensure a Candidates' suitability for the role. Including but not limited to checking the identity of the Recruiter/employer, risks to health and safety, experience, training, qualifications and authorization.
- Advertisements which appear to discriminate on grounds of sex, race or disability are illegal and may result in proceedings being taken against both the advertiser and the publisher. Advertisements are accepted on the basis that the advertiser confirms that any requirement or qualification which may appear to discriminate illegally is in compliance with any exemption available under the relevant legislation.
- Notwithstanding this confirmation, if we nonetheless believe that an advertisement may be discriminatory we may at our discretion either amend the advertisement or remove it without liability to you to make any refund of amounts paid or due to be paid in respect of the posting or otherwise and will inform you accordingly.
- Classifieds Services
- With the Uni People Classifieds Services, Uni People provides an online service through which the user, as an advertiser, can create and publish offers and requests consisting of text and images (hereinafter "ads") and, as an interested party, can view published ads of other users. In addition, the Uni People Classifieds services also enable the exchange of electronic messages between advertisers and interested parties. To the extent necessary for conversion into file formats suitable for the Uni People Classifieds Services, Uni People Classifieds will convert the user's ads into formats for use in mobile applications and web sites.
- The Uni People Classifieds services are used to publish advertisements and to bring together sellers and buyers of the goods and services advertised. Uni People Classifieds is not itself a seller of the products advertised in the advertisements.
- As part of the display of ads and on a user's summary page, Uni People Classifieds displays additional information about the user and the user's activities on the Uni People Classifieds services (such as the response rate and/or average response time to requests for published ads, so-called activity indicators). Uni People Classifieds may also identify the user based on certain criteria.
- Uni People Classifieds allows users to rate each other based on a specific interaction with each other and publicly available.
- Uni People Classifieds allows users to follow other users or advertisements and to save search requests. Uni People Classifieds informs the user about items on the watch list, including changes in the description or price changes, about newly posted items of the followed users and about new matching items to a search request.
- Uni People Classifieds publishes and promotes the Uni People Classifieds Services and the advertisements posted by users itself and through third parties, for example, by including the advertisements or excerpts thereof on web sites, within software applications ("apps"), in emails, in print, radio and television marketing campaigns or in other media. Uni People Classifieds also allows third parties to promote their offers and services through the Uni People Classifieds Services. Uni People Classifieds may also provide third parties with access to the data, information and content published through the Uni People Classifieds Services to support these activities. The user authorises Uni People Classifieds to make the aforementioned use of his or her advertisements for the purpose of promoting and increasing the reach of the Uni People Classifieds services. This also applies to translations for the purpose of integrating the translated advertisements into foreign language listings.
- Dating
- While Uni People strives to promote a respectful user experience through features such as double opt-in, which allows communication between members only after both have shown interest in each other, Uni People is not responsible for the conduct of members inside or outside the Service. You agree to exercise caution in all interactions with other Members, particularly if you choose to communicate outside of the Service or meet Members in person. In addition, you agree to read and follow Uni People's safety tips before using the Service. You agree not to disclose any financially sensitive information (e.g., your credit card or bank account information) to other Members or send money to them by wire transfer or otherwise.
- You are solely responsible for your interactions with other members. You understand that tinder does not conduct criminal background checks on its members or otherwise inquire into the backgrounds of its members. Uni People makes no representations or warranties regarding the conduct or compatibility of its members.
- By using the Service, you agree to refrain from the following:
- use the Service for any purpose that is illegal or prohibited by this Agreement.
- use the Service for any harmful or disgraceful purpose
- use the Service to harm Uni People
- violate our Community Guidelines, as updated from time to time.
- send spam, solicit money from or defraud other members.
- impersonate another person or entity or post pictures of another person without their permission.
- Bullying, stalking, intimidating, attacking, harassing, mistreating or defaming others.
- Post content that infringes or violates any person's rights, including rights of publicity, privacy, copyright, trademark or other intellectual property or contract rights.
- Post content that constitutes hate speech, is threatening, sexually explicit or pornographic.
- Post content that incites violence or contains nudity or graphic or gratuitous violence.
- Post any content that promotes racism, bigotry, hatred or assault of any kind against any group or individual.
- Solicit passwords for any purpose or personal information for commercial or unlawful purposes from other members or distribute the personal information of others without the consent of that person.
- Use another member's account, share an account with another member or maintain more than one account.
- create another account if we have already terminated your account, unless you have our permission.
- Uni People reserves the right to review and/or terminate your account without a refund for any purchases if you have violated this Agreement, abused the Service, or acted in a manner that Uni People considers inappropriate or unlawful, including actions or communications that occur within or outside of the Service. If you breach these rules or our Community Guidelines, your permission to use the Service will automatically be revoked.
- Although Uni People reserves the right to review and remove Content that violates this Agreement, such Content is the sole responsibility of the Member posting it, and Uni People cannot guarantee that all Content will comply with this Agreement. If you notice Content on the Service that violates this Agreement, please report it within the Service
- Competitions and Prizes
- From time-to-time Uni People will run competitions, free prize draws and promotions ('Competition(s)') on this website. Competitions may be subject to additional terms that will be made available at the time. No purchase is necessary to enter the Competition unless otherwise stated on the promotional activity with a specific Competition.
- Competitions are not open to any employees of Uni People, the promoter or their immediate families, a Competition promoter’s advertising agency and sales promotion consultancy, or anyone else connected with the creation and administration of the Competition.
- Entries in the incorrect format will not be considered.
- Unless otherwise stated, only one Competition entry, fulfilling the eligibility requirements above, will be accepted per person. Spammers will be disqualified.
- Entrants will be deemed to have accepted these Terms and to have agreed to be bound by them.
- Once selected, only the winner(s) will be contacted personally by email using the contact details provided upon entry.
- Winners will be notified on the day that the winner is selected. Winners will have 5 (five) working days to respond in full or another winner will be selected. Uni People shall be permitted to exclude or disqualify any entrant at any time at its sole discretion. - Uni People does not accept any responsibility for late or lost entries. Proof of sending is not proof of receipt.
- Entry to the Competition and acceptance of the prize constitutes permission to use any entrant’s name, image and any competition entry photograph for promotional and/or editorial purposes in any format in print and non-print media without additional consultation.
- Prizes must be taken as stated and cannot be deferred, although Uni People reserves the right to change the prize in the event of unforeseen circumstances.
- Donation Specific Terms
- By making a donation, you as a user (hereinafter referred to as donor) agree to these terms and conditions.
- Validity. These terms and conditions apply to all donations within the scope of Uni People’s activity and irrespective of the classification under contract law. They also apply to all future donations without the need for explicit acceptance. These terms and conditions shall be deemed accepted at the latest with your first donation. These terms and conditions as well as all further amendments are available online on the Uni People platform and apply exclusively. Uni People reserves the right to amend these terms and conditions in any form at any time, without further notice and at its own discretion. Notification of changes at this point is recognised by the donor as sufficient notice.
- The donor turns his/her donation over to Uni People, which first adds it to its assets and then allocating it to the development of its platform or the purposes specified. The purpose of the donation is fulfilled by Uni People by using the funds received within the framework of Uni People’ own purposes to develop the Uni People platform. Uni People decides on the use of the donations in respect to the development. There is no legal claim on the part of the donor or the favoured part of the Uni People. The donor agrees to the transmission of the data required for the transfer of the donation to the implementing banks or to the transmission of the data required for the implementation of the donation by Stripe.
- Data protection of donors. Uni People uses SSL encryption technology when transmitting data. The data of the donors will only be stored for a short period of time for accounting, security, and research reasons. The data is used exclusively for the purpose of transferring the donation to Uni People. The donor's personal data may be used by Uni People for the purpose of producing a donation receipt for the donor. Furthermore, the data may be used to remedy technical defects. They will not be forwarded to other organisations.
- Donors Responsibilities. By donating to Uni People, you agree to provide true, accurate and up-to-date information about yourself as specified in the donation form. If it becomes known that any of the information you provide is untrue, inaccurate, outdated, or incomplete, the Uni People reserves the right not to accept you as a donor in the future and to take other legal action if necessary. Donors undertake to comply with all applicable legal provisions when donating in order to prevent unlawful use. Furthermore, donors undertake to assume sole responsibility for compliance with such legal provisions.
- Third-Party Websites and Content
- The Platform may contain (or you may be sent via the Platform) links to other Websites ("Third-Party Websites") as well as articles, photographs, text, graphics, pictures, designs, music, sound, video, information, applications, software, and other content or items belonging to or originating from third parties ("Third-Party Content").
- Such Third-Party Websites and Third-Party Content are not investigated, monitored, or checked for accuracy, appropriateness, or completeness by us, and we are not responsible for any Third-Party Websites accessed through the Platform or any Third-Party Content posted on, available through, or installed from the Platform, including the content, accuracy, offensiveness, opinions, reliability, privacy practices, or other policies of or contained in the Third-Party Websites or the Third-Party Content.
- Inclusion of, linking to, or permitting the use or installation of any Third-Party Websites or any Third-Party Content does not imply approval or endorsement thereof by us. If you decide to leave the Platform and access the Third-Party Websites or to use or install any Third-Party Content, you do so at your own risk, and you should be aware these Terms and Conditions no longer govern.
- You should review the applicable terms and policies, including privacy and data gathering practices, of any Website to which you navigate from the Platform or relating to any applications you use or install from the Platform. Any purchases you make through Third-Party Websites will be through other Websites and from other companies, and we take no responsibility whatsoever in relation to such purchases which are exclusively between you and the applicable third party.
- You agree and acknowledge that we do not endorse the products or services offered on Third-Party Websites and you shall hold us harmless from any harm caused by your purchase of such products or services. Additionally, you shall hold us harmless from any losses sustained by you or harm caused to you relating to or resulting in any way from any Third-Party Content or any contact with Third-Party Websites.
- Copyright Infringements
- We respect the intellectual property rights of others. If you believe that any material available on or through the Platform infringes upon any copyright you own or control, please immediately notify us. A copy of your Notification will be sent to the person who posted or stored the material addressed in the Notification.
- Please be advised that pursuant to federal law you may be held liable for damages if you make material misrepresentations in a Notification. Thus, if you are not sure that material located on or linked to by the Platform infringes your copyright, you should consider first contacting an attorney.
- Advertisers And Affiliates
- We allow advertisers and affiliates to display their advertisements and links and other information in certain areas of the Platform. If you are an advertiser or affiliate, you shall take full responsibility for any advertisements you place on the Platform and any services provided on the Platform or products sold through those advertisements.
- Further, as an advertiser or affiliate, you warrant and represent that you possess all rights and authority to place advertisements on the Platform, including, but not limited to, intellectual property rights, publicity rights, and contractual rights.
- As an advertiser or affiliate, you agree to our Schedule of Fees.
- We simply provide the space to place such advertisements and links, and we have no other relationship with advertisers and affiliates.
- Uni People will pay the Affiliate 1.4% revenue from ads views on their page for the Users (Influencers) that have more than >100.000 followers (“Verified Affiliates”).
- Verified Affiliates` commission shall be paid in accordance with our Schedule of Fees.
- Uni People reserves the right to modify the payment schedule as long as notice is posted to the Website and email correspondence is sent to Affiliate. If commission does not exceed the minimum pay out requirements during prior period, Uni People, reserves the right to hold payment until commissions accumulate to the minimum amount.
- Affiliates are NOT employees of Uni People. and are responsible for their own local, state, or country taxes.
- All Affiliate applications are subject to approval by Uni People.
- Both Uni People and the Affiliate reserve the right to terminate this agreement at any time. If cancelled, outstanding commissions for current period at time of cancellation shall be paid in the next monthly payment so long as rules of this agreement were not violated by the Affiliate.
- Reliance on Information
- The Platform is intended to provide general information and entertainment only and, as such, should not be considered as a substitute for advice covering any specific situation. You should seek appropriate advice before taking or refraining from taking any action in reliance on any information contained in the Platform.
- The information provided on the Platform is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country.
- Restrictions
- Except as expressly set out in this Agreement or as permitted by any applicable law, you undertake:
- not to reproduce, copy, modify, adapt, translate, publish, display, communicate, transmit, sell, exploit or use the whole or any part of any Service, our Platform or any of the contents therein for any commercial or other purposes;
- not to disassemble, decompile, reverse-engineer or create derivative works based on the whole or any part of the source code of our Platform nor attempt to do any such thing, or to reproduce, display or otherwise provide access to the Services, our Platform or any of the contents therein, including but not limited to framing, mirroring, linking, spidering, scraping or any other technological means;

- to include our copyright notice on all entire and partial copies you make of our Platform on any medium;
- to comply with all applicable technology control or export laws and regulations; and
- not to disrupt, disable, or otherwise impair the proper working of the Services, our Platform, or our servers, such as through hacking, cyber-attacks (including but not limited to denial-of-service attacks), tampering or reprogramming.
- Except as expressly set out in this Agreement or as permitted by any applicable law, you undertake:
- Platform Management
- We reserve the right, but not the obligation, to:
- monitor the Platform for violations of these Terms and Conditions;
- take appropriate legal action against anyone who, in our sole discretion, violates the law or these Terms and Conditions, including without limitation, reporting such user to law enforcement authorities;
- in our sole discretion and without limitation, refuse, restrict access to, limit the availability of, or disable (to the extent technologically feasible) any of your Contributions or any portion thereof;
- in our sole discretion and without limitation, notice, or liability, to remove from the Platform or otherwise disable all files and content that are excessive in size or are in any way burdensome to our systems;
- otherwise manage the Platform in a manner designed to protect our rights and property and to facilitate the proper functioning of the Platform.
- We reserve the right, but not the obligation, to:

- You agree that, if you have provided Uni People with personal data relating to a third party (a) you have in place all necessary appropriate consents and notices to enable lawful transfer such personal data to Uni People and (b) that you have brought to the attention of any such third party the Privacy Policy available on the Uni People’s website or otherwise provided a copy of it to the third party. You agree to indemnify Uni People in relation to all and any liabilities, penalties, fines, awards, or costs arising from your non-compliance with these requirements.
- Modifications to Terms of Service and Other Policies.
- Uni People may modify these terms or any additional terms that apply to the Service to, for example, reflect changes to the law or changes to the Service. You should look at the terms regularly. Uni People will post notice of modifications to these terms, or other policies referenced in these terms at the applicable URL for such policies.
- Changes will not apply retroactively and will become effective no sooner than 14 days after they are posted. If You do not agree to the modified terms for the Service, you should discontinue Your use of our Platform.

- Modifications And Interruptions
- We reserve the right to change, modify, or remove the contents of the Platform at any time or for any reason at our sole discretion without notice. However, we have no obligation to update any information on our Platform. We also reserve the right to modify or discontinue all or part of the Platform without notice at any time.
- We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Platform.
- We cannot guarantee the Platform will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Platform, resulting in interruptions, delays, or errors.

We make no guarantee of any specific results from the use of our Service.
- No part of this Platform is intended to constitute advice and the Content of this Platform should not be relied upon when making any decisions or taking any action of any kind.
- The Platform is provided on an as-is and as-available basis.

- Our Platform may contain affiliate marketing links, which means we may get paid commission on sales of those products or services.
- You will never be charged a fee through one of our affiliate links. You may get a discounted rate of the relevant affiliates services and we will make a small commission. Our editorial content is not influenced by advertisers or affiliate partnerships.
- Prohibited uses
- You may use our Platform only for lawful purposes. You may not use our Platform:

- legal proceedings against you for reimbursement of all costs on an indemnity basis (including but not limited to reasonable administrative and legal costs) resulting from the breach;
- further legal action against you; and/or
- disclosure of such information to law enforcement authorities as we reasonably feel is necessary.
- We exclude liability for actions taken in response to breaches of this acceptable use policy. The responses described in this policy are not limited, and we may take any other action we reasonably deem appropriate.
- No Waiver
In the event that any party to these Terms and Conditions fails to exercise any right or remedy contained herein, this shall not be construed as a waiver of that right or remedy.
- Previous Terms and Conditions
In the event of any conflict between these Terms and Conditions and any prior versions thereof, the provisions of these Terms and Conditions shall prevail unless it is expressly stated otherwise.
- Law and Jurisdiction
These terms and conditions and the relationship between you and Uni People shall be governed by and construed in accordance with the Law of England and Wales and Uni People and you agree to submit to the exclusive jurisdiction of the Courts of England and Wales.
